Introduction and Acceptance of Terms

Welcome to Glass Pay! These Terms of Service (“Terms”) govern your access to and use of the Glass Pay platform, including any related websites, mobile applications, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms, as well as our Privacy Policy (incorporated here by reference). If you do not agree with any part of these Terms, you must not use the Services. These Terms form a binding legal agreement between you (an individual or the entity you represent) and Social Glass, Inc. (“Glass Pay,” “we,” or “us”). You represent that you are eligible to enter this agreement and that you have the authority to do so. If you are using the Services on behalf of a company or public sector entity, you represent that you have the legal authority to bind that organization to these Terms.

Eligibility and Account Registration

To use Glass Pay, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a legally binding contract. You agree to provide true, accurate, and complete information when creating your Glass Pay account and whenever requested in connection with the Services. This includes information needed for identity verification or compliance purposes (such as your legal name, address, email, phone number, tax ID or SSN, and banking details). You agree to keep your account information current and promptly update it if it changes. If you are registering on behalf of an organization (including a business or a government/public sector entity), you must use your organization’s true name and provide your official contact information.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. Do not share your password or API keys with anyone. You must notify us immediately at the contact information provided below if you suspect any unauthorized access to or use of your account. Glass Pay will not be liable for any loss or damage arising from your failure to secure your account.

Services and Payment Processing

Glass Pay provides a platform that enables efficient digital payment processing and related financial transactions. Our Services may include features for initiating payments, disbursing funds to payees, linking financial accounts, and reporting on transactions.

Payment Facilitation: Glass Pay itself is not a bank, money transmitter, or money services business; instead, we partner with regulated third-party financial institutions and payment processors to execute transactions on your behalf. When you use Glass Pay to send or receive funds, you authorize us to communicate and share necessary information with these partners so that payments can be processed. For example, if you are a payer, you might link a funding account (such as a bank account or payment card) and initiate a payment through our platform; Glass Pay will then coordinate with our partners to debit your funding source and credit the designated payee. Likewise, if you are a payee, you agree that Glass Pay and its partners may deposit funds into the bank account or payment method you provide. All payments will be made in U.S. Dollars unless explicitly supported and stated otherwise.

No Professional Advice: Glass Pay does not provide financial, legal, tax, or investment advice. Any information provided through the Services is for general informational purposes to facilitate transactions. You are responsible for understanding and complying with any legal or tax obligations associated with payments you make or receive. You should consult professionals for advice on such matters. Glass Pay is not responsible for how you use the funds or the legality of underlying transactions between payers and payees.

Use of Third-Party Partners

To deliver our Services, Glass Pay relies on several trusted third-party partners. By using Glass Pay, you acknowledge and agree that your information and payment instructions may be shared with these partners as needed to perform the Services, and that the execution of certain actions (like processing a payment or verifying a bank account) will be subject to these third parties’ terms and policies as well:

  • Stripe: We use Stripe, Inc. for payment processing of credit/debit card transactions and certain merchant services. Stripe is a PCI-DSS Level 1 certified payment processor​. When you link a payment card or make card payments via Glass Pay, those transactions are processed by Stripe under its secure infrastructure. Your use of card payment features may also be subject to Stripe’s Connected Account Agreement or similar terms, which Stripe may require you to accept. We only share necessary information (such as your name, email, and transaction amount) with Stripe to process payments.
  • Finix: We partner with Finix Payments, Inc. (“Finix”) as a payment infrastructure provider. Finix helps route and manage payment transactions (including ACH transfers and card processing) on our behalf. Finix is certified as a Level 1 Service Provider under the Payment Card Industry Data Security Standard (PCI-DSS)​, which is the highest level of security in the payments industry. By using Glass Pay, you agree that we may transmit transaction and account information to Finix as needed for processing and compliance. Finix may also facilitate annual PCI compliance validation for merchants using our platform. All such data sharing is handled securely and in accordance with our Privacy Policy.
  • Plaid: We use Plaid Technologies, Inc. (“Plaid”) to securely connect to your bank accounts and verify your banking information when you link an account for payments. Plaid allows you to provide your bank login credentials in a secure Plaid interface; we do not see or store your actual banking passwords. The credentials and multifactor codes you provide go directly to Plaid, and Plaid then shares only the relevant account data (such as your account and routing numbers, and account balance or verification status) with Glass Pay. Plaid is a highly regarded banking data integration service that uses advanced encryption and security measures, and it is certified to internationally recognized standards like ISO 27001 and SOC 2​. By using our bank account linking feature, you consent to Plaid’s privacy policy and terms, which will be presented to you during the linking process. We only use the bank information obtained via Plaid for the purposes you’ve authorized (such as setting up ACH payments).
  • Veem: For certain international payments or large-scale business payments, we integrate with Veem, Inc. (“Veem”). Veem operates a global payments network and is a licensed money transmitter in numerous jurisdictions (holding 40+ state licenses in the U.S.​). If a payment you initiate is routed through Veem (for example, an international wire or a foreign currency transfer), you may be required to register or provide additional information to comply with Know-Your-Customer (KYC) requirements. Veem employs robust security, including encryption of data in transit and at rest​. Veem is also PCI-DSS compliant and undergoes annual SOC 2 audits to ensure security controls. By using Glass Pay for applicable cross-border transactions, you consent to us sharing the necessary personal and payment details with Veem to fulfill those transactions, and you agree to Veem’s user terms as applicable to the payment.
  • Banking Partners (Bank of America, Brex, etc.): Glass Pay may use established financial institutions to hold and disburse funds. For example, we may maintain a client funds account with Bank of America, N.A. (an FDIC-insured U.S. bank) for holding balances or executing ACH transfers, and we may use Brex Treasury or Brex Cash services (offered by Brex, Inc.) to manage corporate funds and card disbursements. These partners ensure that any funds held on behalf of our users are handled in accordance with banking regulations and benefit from protections such as FDIC insurance where applicable (for instance, deposits held at Bank of America are FDIC-insured up to the standard limits). By using Glass Pay, you authorize us to arrange for the holding, transfer, or disbursement of funds through these banking partners as necessary. You also acknowledge that such partners may have their own account agreements or terms that apply to the handling of funds (though as an end-user you might not interact with them directly). Glass Pay remains responsible for instructing these partners properly on your behalf.

Third-Party Terms and Disclaimers: While we carefully vet our third-party providers and aim to only partner with industry-leading, compliant services, Glass Pay is not responsible for the acts or omissions of these third parties. We do not guarantee their services, availability, or performance. However, if you encounter any issue attributable to a third-party service integrated into Glass Pay, we will make reasonable efforts to assist in resolving it. Use of the Services constitutes your agreement to also comply with any relevant third-party terms of service or usage policies when applicable (for example, complying with Stripe’s or Finix’s rules for acceptable payment transactions, or Plaid’s policies on data use). If you do not wish to use a particular third-party service (for instance, if you do not want to use Plaid to connect a bank account), please contact Glass Pay to inquire about alternative methods. Note that opting out of a critical third-party integration may limit your ability to use certain features of our Services.

User Responsibilities and Acceptable Use

By using Glass Pay, you agree to use the Services only for lawful purposes and in accordance with these Terms and any applicable laws and regulations.

Prohibited Activities: You shall NOT:

  • Use the Services in any way that violates any applicable law or regulation, including but not limited to anti-money laundering (AML), counter-terrorist financing (CTF), economic sanctions, or consumer protection laws. This means you cannot use Glass Pay to send or receive payments for illegal activities, fraud, gambling (where prohibited), the purchase or sale of illegal goods, or any other unlawful transactions. We and our partners maintain lists of prohibited business activities, and we reserve the right to suspend or terminate accounts engaging in those activities.
  • Infringe upon the intellectual property or other rights of any person or entity. This includes not uploading or transmitting content through the platform that you do not have the right to use, and not violating privacy or data protection rights of others.
  • Interfere with or disrupt the integrity or performance of the Services. You may not attempt to probe, scan, or test the vulnerability of our system or network, breach security or authentication measures, or circumvent any technological measure implemented by Glass Pay or any of our providers to protect the Services.
  • Misrepresent your identity or affiliation. You must not impersonate any person or entity or falsely state or misrepresent your identity, including whether you are using the Service on behalf of an organization. Providing false information during account setup or payment processing (e.g., false name, using someone else’s banking information without authorization) is strictly prohibited and could lead to account termination or legal action.
  • Attempt to access data or accounts that you are not authorized to access. You should only access your own account and data, or data explicitly shared with you. You must not use any automated means (such as bots or scrapers) to extract data from the Services without our permission.

Account Usage: You are responsible for all activities that occur under your Glass Pay account or via your API credentials. If you authorize employees or agents to use your account (for business or public sector users), you are responsible for ensuring they abide by these Terms. Glass Pay offers tools and settings for businesses to manage team access—please use these responsibly and immediately revoke access for any individual who should no longer have it. You agree to promptly cooperate with any Glass Pay inquiry regarding misuse of the Services or suspected fraud (for example, we may ask you to verify your identity or the details of a transaction if we detect unusual activity).

Compliance and KYC: Glass Pay, through its partners, may be required by law to conduct identity verification or other compliance checks (Know Your Customer, sanctions screening, etc.). You agree to provide any additional information or documentation reasonably requested to fulfill these legal requirements. If you fail to provide requested KYC information or if we suspect that your use of the Services violates legal requirements, we may suspend your account or limit functionality until the issue is resolved. We reserve the right to reject a transaction or close your account if required by our compliance policies or those of our partners.

Intellectual Property

All content, software, and materials comprising the Glass Pay Services (including but not limited to text, logos, graphics, button icons, images, audio clips, software code, and compilations) are the property of Glass Pay or our licensors and are protected by United States and international intellectual property laws. Glass Pay grants you a limited, revocable, non-exclusive, non-transferable license to use the Services and any documentation solely for your internal business purposes or personal use (as applicable), in accordance with these Terms. You must not reproduce, distribute, create derivative works from, publicly display, or reverse engineer any portion of our Services unless expressly permitted by us in writing.

You retain ownership of any content or data you input or upload to the Services (“Your Data”). However, by using the Services and submitting Your Data, you grant Glass Pay a worldwide, royalty-free, sublicensable license to use, reproduce, adapt, and display Your Data only as necessary to provide the Services to you and any recipients you designate. For example, if you upload a list of payees with names and addresses in order to process payments, you are granting us the right to store that list, process it, and display it back to you or to use it to initiate payments. We will not use Your Data for any purposes outside of operating and improving the Services, in accordance with our Privacy Policy.

Feedback and suggestions you provide about Glass Pay are entirely voluntary, and we are free to use such feedback as we see fit and without obligation to you. Providing feedback does not grant you any intellectual property claim or right in the Services, even if we incorporate your feedback into future products or improvements.

Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy describes in detail how we collect, use, store, and disclose your personal information when you use Glass Pay. By using the Services, you consent to the collection and use of your information as outlined in the Privacy Policy. In summary, we collect only what is necessary to provide the Services (such as contact information, identification information, and financial account details) and we share it only with the third parties and for the purposes described earlier (payment processing, compliance, etc.). We implement technical and organizational measures to safeguard your data, including encryption and access controls, as described in our Security & Compliance section below. We do not sell your personal data to third parties. If you are a public sector client or user, please ensure that you do not submit to Glass Pay any personal data that you are not authorized to share, and be mindful of your obligations under privacy or open records laws. If you have a data processing agreement or specific privacy requirements (for example, as a government entity or under GDPR), please contact us to ensure we have appropriate arrangements in place.

By using the Services, you also agree that Glass Pay may send you service-related communications (e.g. transaction confirmations, security alerts, support messages) via email, SMS, or in-app notifications. For more details or to understand your privacy rights (including rights to access or delete your data), please review the Privacy Policy. If you do not agree with how we handle your data, your remedy is to stop using the Services and close your account.

Termination and Suspension

By You: You may stop using Glass Pay at any time. You may also delete your account or terminate this agreement by providing written notice to us (for example, via email to our support team or through an account settings option, if available). If you have any pending transactions or obligations, you are responsible for settling those before termination. Upon account closure, we may retain certain information as required by law or as permitted by our Privacy Policy (e.g., for compliance and audit purposes), but otherwise we will delete or de-identify your personal data.

By Glass Pay: We reserve the right to suspend or terminate your access to the Services, or terminate these Terms, at our discretion with or without prior notice, if: (a) you have violated any provision of these Terms or any applicable law; (b) we suspect fraudulent, abusive, or unlawful activity by you or under your account; (c) you fail to cooperate with our verification or security procedures; or (d) we determine that your use of the Services poses an unacceptable risk to us, our partners, or other users (for example, your account has a history of excessive chargebacks or disputes). Additionally, we may suspend the Services or your account if directed to do so by one of our payment partners (for instance, if Stripe or Finix flags your account for violations of their policies) or if required by law enforcement or regulatory authorities.

In non-emergency situations, we will attempt to provide you with notice of suspension or termination, explaining the reason and any potential remedies (if applicable). In urgent cases (e.g., suspected fraud or security threat), we may suspend immediately and notify you afterward. Termination of your account may include disabling your access to the Services and, if you are a payee, potentially reversing or cancelling any pending payments (we will communicate what will happen with any funds in transit; generally, funds that have been debited from a payer but not yet paid out to a terminated payee will be returned to the payer when feasible).

Effect of Termination: Upon termination of this agreement for any reason, (i) the license and rights granted to you to use the Services will cease immediately; (ii) you must stop using any of our confidential information or proprietary content; and (iii) any accrued rights and obligations up to termination (such as payment obligations or liability for any breach) will survive. If your account is terminated due to a breach of these Terms, you are not entitled to a refund of any fees paid (if any), and you may be prohibited from re-registering or using the Services in the future. We also reserve the right to delete your account data after termination, except where retention is required or allowed by law.

Disclaimers of Warranties

Glass Pay provides the Services on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Glass Pay disclaims all warranties, express or implied, in connection with the Services and your use thereof. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

Operations and Data: While we strive for 24/7 uptime and robust security, we make no warranty that the Services will meet your requirements, or that any results (e.g., payment timing or accuracy of data) can be guaranteed. We cannot promise that data transmissions or storage are 100% secure; although we apply encryption and industry best practices, any use of online services entails some risk that unauthorized third parties may access your information. You acknowledge that payments involve multiple parties (banks, payment networks, etc.) and Glass Pay makes no guarantees regarding the speed or success of transactions once they are handed off to those networks.

No Warranty on Third-Party Services: Glass Pay does not make any warranties regarding the third-party services, products, or tools integrated into our platform. We do not warrant that any third-party provider (e.g., Stripe, Finix, Plaid, Veem, Bank of America, Brex) will perform without error or interruption. Any issues or liability arising from third-party services are the responsibility of those third parties, except as otherwise provided by applicable law. That said, please inform us of any problems and we will do our best to facilitate a solution.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any warranties required by law are limited in duration to 30 days from the first date of your use of the Services.

Limitation of Liability

To the maximum extent permitted by law, in no event will Glass Pay or its affiliates, officers, directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages (including but not limited to lost profits, lost data, business interruption, or costs of substitute services) arising out of or in connection with your use of or inability to use the Services, even if Glass Pay has been advised of the possibility of such damages.

In no event shall Glass Pay’s total cumulative liability for any claims arising out of or related to these Terms or the Services, regardless of the form of action (whether in contract, tort, negligence, strict liability, or otherwise), exceed the greater of the total fees (if any) paid by you to Glass Pay for the Services in the three (3) months immediately prior to the event giving rise to liability. This limitation applies collectively to Glass Pay and its third-party partners and providers involved in providing the Services.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such jurisdictions, Glass Pay’s liability will be limited to the fullest extent permitted by law. Nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, or death/personal injury caused by our negligence where such exclusion is not allowed by law. Additionally, the limitations above regarding indirect damages and total cap may not apply to you if you are in a jurisdiction that does not permit those disclaimers.

Glass Pay has no liability to you for any failure or delay in performing our obligations if such failure or delay is due to events beyond our reasonable control, such as acts of God, natural disasters, war, acts of terrorism, civil disturbances, strikes, network or utility outages, or disturbances in any of our third-party service providers’ systems (a “Force Majeure” event).

Indemnification

You agree to indemnify, defend, and hold harmless Glass Pay and its affiliates, and their respective directors, officers, employees, and agents, from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your use of the Services (including any payments or transactions you initiate or receive); (b) your violation of these Terms or of any law or regulation; or (c) your infringement or violation of any rights of a third party (such as intellectual property or privacy rights).

Glass Pay reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with our defense of the claim.

Public Sector Entities: If you are using the Services as an employee or representative of a government or public sector entity, the above indemnification provision shall apply only to the extent permitted by applicable law. We recognize that certain public entities may be restricted by law from entering indemnification agreements. In such cases, any liability of the public sector user will be determined under the applicable law, and any indemnification obligations shall be construed in a manner that complies with such law.

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Services (“Dispute”) shall be governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You agree that any legal action or proceeding arising under these Terms or related to the Services shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objections to jurisdiction or venue in such courts, including any defense of forum non conveniens, provided that if you are a U.S. federal government entity or another public sector entity that by law cannot submit to the jurisdiction of such courts, this provision regarding venue shall not apply and any Dispute shall be resolved in a forum permitted under applicable law.

Public Sector Exceptions: We acknowledge that if you are a government or public entity, your jurisdiction’s laws may mandate certain provisions. Nothing in these Terms is intended to contradict or violate any laws applicable to public entities. If you are a U.S. federal government user, these Terms are intended to be interpreted as consistent with federal law and requirements. In the event of a conflict between these Terms and applicable law or regulations governing you as a public entity, such law will prevail, and the conflicting provisions of these Terms shall be deemed modified or waived to the extent necessary to comply with law.

Changes to the Terms

Glass Pay may modify or update these Terms from time to time. We will provide notice of material changes (for example, by posting a notice on our website, within the app, or via email notification to account holders). The “Last Updated” date at the top of the Terms will indicate when the latest changes were made. All changes will become effective on the date indicated in the notice, and your continued use of the Services after that date constitutes your acceptance of the new Terms. If you do not agree to a change, you must stop using the Services and, if applicable, terminate your account before the new Terms take effect. We encourage you to review the Terms periodically to ensure you understand the terms and conditions that apply to your use of Glass Pay.

For users operating as public sector or government entities: We will endeavor to provide you with reasonable advance notice of any changes to these Terms, recognizing that additional procedures or approvals may be required on your end to accept such changes.

Miscellaneous

Entire Agreement: These Terms (together with the Privacy Policy and any other agreements expressly incorporated by reference) constitute the entire agreement between you and Glass Pay regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. Any additional or conflicting terms proposed by you in any purchase order, procurement portal, or other document are hereby objected to and will not be binding on Glass Pay unless expressly agreed in writing by an authorized representative of Glass Pay.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Glass Pay may freely assign or transfer these Terms (in whole or in part) as part of a corporate reorganization, merger, acquisition, or to any other party that continues our business. These Terms shall bind and insure to the benefit of the parties and their respective successors and permitted assigns.

Relationship of the Parties: You and Glass Pay are independent contractors. These Terms do not create any agency, partnership, joint venture, or fiduciary relationship between us. You do not have any authority to bind Glass Pay in any respect.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid provision will be deemed modified in a manner that most closely reflects the original intent, to the extent permitted by law.

No Waiver: The failure of Glass Pay to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by Glass Pay to be effective. The exercise of any remedy by Glass Pay under these Terms shall be without prejudice to its other remedies.

Notices: Glass Pay may provide notices or communications to you through the Services (e.g., via in-app notification), by email to the address associated with your account, or by postal mail. You may provide notices to Glass Pay by email at [email protected] or by written communication to our registered business address (provided on our website). Email notices are deemed received 24 hours after the email is sent, unless the sender is notified that the address is invalid or the email was undeliverable.
